Ambassador Program – Terms and Conditions

You agree, as an authorized ambassador (“Ambassador”) of Medical Marijuana Consulting Group Ltd. (“MMC”), to abide by the terms and conditions outlined in this agreement (the “Agreement”). Your participation in the MMC ambassador program (the “Program”) is restricted solely to the referral of patients to the MMC clinic and receipt of a referral fee (“Referral Fee”) on completed appointments by individuals referred to MMC by your efforts that result in MMC providing an authorization for medical cannabis, whether via your website or personal referrals (“Referrals”).  You, your participation as an Ambassador in the Program, your actions and conduct in connection therewith, and all Referrals must be, at all times, in compliance with all applicable laws, regulations, rules, policies, notices and instruments including, without limitation, the Cannabis Act (Canada) and the Criminal Code (Canada), and regulations thereunder, all as may be amended or replaced from time to time (“Applicable Law”).

1. Acceptance of Agreement and Compliance with Applicable Law

By electing to join the Program, you acknowledge and confirm (i) your acceptance of this Agreement, and (ii) that you are currently in compliance, and will remain at all times in compliance, with all Applicable Law.

2. Approval or Rejection of the Application

MMC reserves the right to approve or reject ANY Ambassador Program application (“Application”) in our sole, absolute and unfettered discretion. You acknowledge and agree that you have no legal recourse whatsoever against us for the rejection of your Application.

3. Referral Fees

Referral Fees will be paid once per calendar month. For an Ambassador to receive a Referral Fee, the referred account must remain active for a minimum of 37 days.  No Referral Fees will be payable prior to the minimum activation period.

You may not refer yourself, and you will not receive a Referral Fee on your own account. There is a limit of one Referral Fee per Referral. If another party uses your referral code, you will receive a Referral Fee on completed appointments that result in MMC providing an authorization for medical cannabis. 

4. Termination

Your Application and status in the Program may be suspended or terminated for no reason, or any reason whatsoever, in the sole, absolute and unfettered discretion of MMC, including, without limitation for the following reasons:

  • Any advertising, promotion or behaviour that is non-compliant with Applicable Law including:
    • Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
    • Spamming (mass email, mass newsgroup posting, etc.).
    • Advertising on sites containing or promoting illegal or objectionable content, products, services or activities.
  • Violation of intellectual property rights. MMC requires the prior written approval for any proposed use of MMC trademarks (“Trademarks”).  Any use of our Trademarks without our prior written approval is strictly prohibited.
  • Offering rebates, coupons, or other forms of promised kickbacks from your Ambassador Referral Fee as an incentive.
  • Self-referrals, fraudulent transactions, or suspected Ambassador fraud.

5. Ambassador Links

With our prior written permission, you may (i) use graphic and text links both on your website and within in your email messages, and (ii) advertise the MMC site in online and offline classified ads, magazines, and newspapers.

You must use the graphics and text provided by us without alteration.

6. Paid Advertising Policy

Paid advertising is NOT permitted without our prior written consent.

7. Liability

MMC explicitly disclaims any and all liability for any direct, indirect or incidental damages (loss of revenue, Referral Fees, etc.) due to Ambassador tracking failures, loss of database files, or any other technical or administrative reason whatsoever.

We do not make any representations or warranties, whether expressed or implied, with respect to the Program. We make no claim that the operation of the Program and/or our website(s) will be error-free or for a particular duration and we will not be liable for any interruptions, errors or termination of the Program.

8. Terms and Term of the Agreement

The term of this Agreement begins upon your registration for, and our acceptance of you in, the Program and will end upon the earlier of (i) termination of the Program, (ii) your termination as an Ambassador, or (iii) when your Ambassador account is terminated.

The terms and conditions of this Agreement may be modified by us at any time, in our sole, absolute and unfettered discretion, with no prior notice to you. If any modification to the terms and conditions of this Agreement are unacceptable to you, your only option and recourse is to terminate your Ambassador account. Your continued participation in the Program will constitute your acknowledgement and acceptance of any changes or amendments.

9. Indemnification

You, as an Ambassador, agree to indemnify and hold harmless MMC and its parent or subsidiary companies, and their respective shareholders, directors, officers, employees, agents, representatives, licensees, successors and assigns (each, a “Releasee”), including those licensed or authorized by MMC to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including all legal fees and costs) whatsoever (“Losses”) arising out of, or related in any way to, your participation as an Ambassador in the Program, save and except for Losses that are a direct result of the negligence or wilful misconduct of MMC or another Releasee.

10. Governing Law and Jurisdiction

This Agreement shall be governed by, and construed in accordance with, the laws of the province of Ontario and the federal laws of Canada applicable therein. You acknowledge and agree that any dispute arising under or related in any way to this Agreement shall be adjudicated exclusively in the province of Ontario.

11. Electronic Signatures Effective

This Agreement is an electronic contract that sets out the legally binding terms of your participation in the Program as an Ambassador. You indicate your acceptance of this Agreement, and all of the terms and conditions contained or referenced in this Agreement, by completing the Program Application process. This action creates and constitutes an electronic signature that has the same legal force and effect as a handwritten signature accepting this Agreement and your participation in the Program as an Ambassador.
